4. Project Terms & Deliverables

• Final deliverables are transferred upon receipt of full payment

5. Payment Terms

6. Intellectual Property

Upon full payment, clients receive ownership rights to custom work created specifically for their project. NextShift.dev retains the right to:

• Display completed work in our portfolio
• Reference the project in marketing materials
• Retain ownership of pre-existing code, templates, and frameworks
• Retain ownership of proprietary tools and methodologies
• Use general knowledge and skills acquired during the project for other clients
• Use open-source libraries and third-party tools as permitted by their licenses
• Protect our intellectual property rights through legal means if necessary
• Ensure that clients do not infringe on third-party intellectual property rights

7. Limitation of Liability

To the maximum extent permitted by law, NextShift.dev shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our Services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

8. Warranties & Disclaimers

• Payment is due for all work completed to date
• Any deposits may be non-refundable as specified in your agreement
• All confidential information must be returned or destroyed
• Licenses granted may be revoked for unpaid work

10. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through good-faith negotiation, mediation, or binding arbitration.

11. Changes to Terms
